Effective Date: 1 January 2024 | Last Updated: 1 October 2026
These Terms and Conditions ("Terms") govern all business-to-business trade transactions, commercial communications, and contractual arrangements between Sri Vanya Exports ("Seller", "Company", "We") and any buyer, importer, or trade partner ("Buyer", "You"). By submitting a trade inquiry or executing a purchase order, you confirm acceptance of these Terms in their entirety.
All price quotations issued by Sri Vanya Exports are valid for 7 (seven) calendar days from the date of issuance. Prices are subject to change due to international freight rate fluctuations, commodity market volatility, and seasonal availability. A binding sales contract is formed only upon (a) written mutual acceptance of a Proforma Invoice (PI) and (b) receipt of the agreed advance payment or an Irrevocable Letter of Credit (L/C). Verbal commitments shall not constitute a binding agreement.
All products are sourced, processed, sorted, and packaged according to the quality parameters explicitly stated in the signed Sales Contract or Proforma Invoice (e.g., grain length, moisture content %, ASTA color value, purity %). Pre-shipment inspection and laboratory testing certificates issued by internationally accredited bodies such as SGS, Bureau Veritas, or equivalent recognized inspection agencies shall constitute final, conclusive proof of product quality at the port of origin. Claims based solely on subjective assessment without an accredited third-party inspection report will not be entertained.
All international shipments are governed by Incoterms® 2020 as published by the International Chamber of Commerce (ICC). The specific Incoterm applicable to each shipment (FOB, CIF, CFR, EXW, or DAP) will be explicitly stated in the Proforma Invoice. Risk of loss or damage to goods transfers from Seller to Buyer at the point defined by the agreed Incoterm. The Buyer is solely responsible for import customs clearance, destination port charges, import duties, and any inland transportation costs beyond the agreed delivery point.
Standard payment terms are 30%–50% advance via SWIFT wire transfer (T/T) against PI, with the balance payable against original shipping documents (Bill of Lading, Certificate of Origin, Phytosanitary Certificate). Payment via Irrevocable Documentary Letter of Credit (L/C) is also accepted for transactions exceeding USD 50,000. All payments must be in the invoiced currency (USD or EUR unless otherwise agreed). Bank charges outside India are to be borne by the Buyer.
Neither Sri Vanya Exports nor the Buyer shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including but not limited to: acts of God (floods, earthquakes), government-imposed export embargoes or quota restrictions, port strikes, customs delays, pandemics, or significant adverse weather. In such events, the affected party must notify the other in writing within 48 hours. The obligation to perform shall be suspended during the force majeure period.
All disputes arising from or related to these Terms, or any contract entered into pursuant to these Terms, shall first be attempted to be resolved amicably through direct negotiation. If a resolution cannot be reached within 30 days, disputes shall be referred to binding arbitration under the rules of the International Chamber of Commerce (ICC). The seat of arbitration shall be New Delhi, India. These Terms shall be governed by and construed in accordance with the laws of the Republic of India.
